1. Who we are
Tidebird ("we", "us") is operated by [COMPANY LEGAL NAME], [REGISTERED ADDRESS]. We make apps for Shopify stores: Tidebird Gift Lift, and soon Tidebird Fox Sub & Bundle and Tidebird Holdspot (together, the "apps").
2. Agreeing to these terms
By installing an app from the Shopify App Store or using tidebird.io, you agree to these terms on behalf of yourself and the store you install the app on. Shopify's own terms also apply between you and Shopify; if they conflict with these terms for anything Shopify controls, Shopify's terms win.
3. Using the apps
- You need an active Shopify store and must be allowed to install apps on it.
- You decide how you use the apps, for example which gift you offer and at what minimum spend. You are responsible for your offers, product prices, taxes and for following the promotion and consumer laws that apply to your store.
- Keep your Shopify account secure. Anything done through the app with your store's access counts as done by you.
4. Fees
All Tidebird apps are free right now. If we introduce paid plans, we will tell you at least 30 days before any charge, show the price in the app before you approve it, and bill only through Shopify's billing system. You can uninstall at any time and you will not be charged for plans you did not approve.
5. Your data
Our privacy policy explains what we collect and why. When an app processes personal data of your customers on your behalf, our data processing addendum applies and forms part of these terms.
6. Acceptable use
Do not use the apps to break the law or Shopify's rules, to send spam, or to harm shoppers. Do not copy, resell, reverse engineer or overload the apps, or try to get around their limits or security.
7. Availability and changes
We work to keep the apps running, but we do not promise they will always be available or free of errors. We may add, change or remove features. If a change takes away something important you rely on, we will tell you in advance where we reasonably can.
8. Intellectual property
The apps, the Tidebird name, logos and this website belong to us. You keep all rights to your store content and data. You give us permission to use your data only to run and support the apps for you.
9. Disclaimer
The apps are provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties such as merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or lost data. Our total liability for any claim is limited to the greater of the fees you paid us in the 12 months before the claim and [USD 100]. Nothing in these terms limits liability that cannot be limited by law.
11. Ending the agreement
You can stop at any time by uninstalling the app. We may suspend or end your access if you break these terms or if we stop offering an app; when we stop an app we will give at least 30 days' notice. After you uninstall, we delete your store's data as described in the privacy policy.
12. Governing law
These terms are governed by the laws of [JURISDICTION]. Disputes go to the courts of [CITY, COUNTRY], unless the law where you live gives you the right to use your local courts.
13. Changes to these terms
We may update these terms. We will change the date at the top and, for important changes, tell you in the app or by email at least 14 days before they apply.
